These Terms & Conditions ("Terms") govern your access to and use of the ClearFiscal website (https://clearfiscal.com) and the budget allocation consulting services provided by ClearFiscal, a company registered in the United Kingdom with its registered office at 14 Rutland Square, Edinburgh, EH1 2AE, United Kingdom ("ClearFiscal", "we", "us" or "our"). By accessing this website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use this website or our services.
1. Definitions
- "Website" means the ClearFiscal website located at https://clearfiscal.com, including all subpages, content and functionality.
- "Services" means the budget planning, forecasting, allocation strategy, spend optimisation audits and advisory support services provided by ClearFiscal, as described on the Website or in a signed engagement agreement.
- "Client" means any individual or business entity that engages ClearFiscal to provide Services.
- "Agreement" means any signed statement of work, engagement letter or service contract between ClearFiscal and a Client, together with these Terms.
2. Use of the Website
You may use the Website for lawful purposes only. You agree not to:
- use the Website in any way that breaches applicable local, national or international law or regulation;
- copy, reproduce, distribute or exploit any part of the Website without our prior written consent;
- attempt to gain unauthorised access to the Website, the server on which it is stored, or any server, computer or database connected to it;
- introduce or transmit viruses, Trojan horses, worms or any other material designed to adversely affect the operation of the Website or any software or hardware;
- use any automated system, scraper or data-mining tool to extract content or data from the Website without our express written permission.
3. Services and Engagement
The information on the Website is provided for general informational purposes and does not constitute a binding offer. Services are provided under a separate written Agreement between ClearFiscal and the Client. In the event of any conflict between these Terms and a signed Agreement, the signed Agreement shall prevail to the extent of the conflict.
ClearFiscal shall perform the Services with reasonable skill and care in accordance with good industry practice. Delivery timelines, deliverables and fees will be set out in the applicable Agreement. Any indicative timelines displayed on the Website are estimates only and are not contractually binding.
4. Financial Information Disclaimer
ClearFiscal provides budget allocation consulting and advisory support. The content of the Website and any recommendations arising from the Services are provided for informational and planning purposes only and do not constitute financial, investment, legal, accounting or tax advice. ClearFiscal is not authorised or regulated by the Financial Conduct Authority to provide regulated financial advice. You should seek independent professional advice before making any financial or investment decisions. To the fullest extent permitted by law, ClearFiscal accepts no liability for decisions made or actions taken based on information obtained from the Website or the Services.
5. Intellectual Property
All content on the Website — including text, graphics, logos, images, methodologies, frameworks, tools and software — is the property of ClearFiscal or its licensors and is protected by copyright, trade mark and other intellectual property laws. You may view and print pages from the Website for your personal or internal business use only. Any methodologies, templates, reports and analysis tools developed by ClearFiscal remain our intellectual property, even where delivered to a Client under an Agreement, unless expressly assigned in writing.
6. Fees and Payment
Fees for the Services are set out in the applicable Agreement. Unless otherwise agreed in writing:
- invoices are payable within 30 days of the invoice date;
- late payments may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998;
- subscription fees, where applicable, are billed monthly in advance and are non-refundable except as required by law;
- ClearFiscal may suspend the Services if undisputed invoices remain unpaid more than 14 days after a written reminder.
7. Confidentiality and Data Protection
Each party agrees to keep confidential all non-public information received from the other party in connection with the Services and to use such information solely for the purpose of performing the Agreement. This obligation survives termination of the Agreement.
ClearFiscal acts as a data controller for personal data collected through the Website and as a data processor (or controller, depending on the engagement) for personal data handled during the provision of the Services. We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Details of how we collect, use and protect your personal data are set out in our Privacy Policy. Where ClearFiscal processes personal data on behalf of a Client, the parties shall enter into a data processing agreement consistent with Article 28 UK GDPR.
8. Security
ClearFiscal maintains technical and organisational measures designed to protect Client data, including encryption of data in transit and at rest, role-based access controls, and independent security audits. ClearFiscal maintains SOC 2 Type II certification and will notify affected Clients and the Information Commissioner's Office of any personal data breach as required by applicable law.
9. Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the foregoing:
- ClearFiscal shall not be liable for any indirect, consequential, special or punitive damages, or for loss of profit, revenue, goodwill or anticipated savings;
- ClearFiscal's total aggregate liability arising out of or in connection with the Services shall not exceed the total fees paid by the Client to ClearFiscal in the twelve (12) months preceding the event giving rise to the claim;
- the Website is provided "as is" without warranties of any kind, and ClearFiscal does not warrant that the Website will be uninterrupted or error-free.
10. Term and Termination
Engagements continue for the term stated in the applicable Agreement. Either party may terminate an Agreement with 30 days' written notice unless a different notice period is specified. ClearFiscal may terminate immediately in the event of the Client's material breach of these Terms, non-payment of undisputed fees, or insolvency. Upon termination, the Client shall pay all fees accrued up to the termination date, and ClearFiscal shall return or destroy Client data at the Client's reasonable request, subject to legal retention obligations.
11. Third-Party Links
The Website may contain references to third-party software or platforms (such as accounting or ERP systems) for informational purposes. Such references do not constitute endorsement, and ClearFiscal is not responsible for the content, availability or practices of third-party websites or services.
12. Force Majeure
ClearFiscal shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, strikes, failures of public networks or utilities, pandemics, or governmental action.
13. Changes to These Terms
ClearFiscal may update these Terms from time to time. The current version will always be posted on this page with the date of last revision. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms. Material changes affecting existing Agreements will be communicated to the affected Client in writing.
14. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them shall be governed by the laws of England and Wales and Scotland, as applicable, and the parties submit to the exclusive jurisdiction of the courts of the United Kingdom.
